These Terms of Service ("Terms") govern your access to and use of the PropGate platform ("Platform"), operated by PropGate ("we", "us", "our"). By creating an account, making a payment, or otherwise accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to any provision of these Terms, you must immediately cease all use of the Platform. These Terms constitute a legally binding agreement between you and PropGate. We recommend that you save or print a copy of these Terms for your records.
PropGate provides trading management and operational services for prop trading funded accounts, as well as educational services through the PropGate Academy platform. Our services include: (a) execution of trades on client's prop trading accounts using PropGate's trading methodology and risk management systems (authorized copy trading model); (b) management of the qualification process (challenge phases) to obtain funded trading accounts; (c) ongoing trading management, monitoring, and risk control on funded accounts; (d) trading management on instant accounts (funded accounts purchased directly from prop trading firms without a challenge phase); (e) success fee settlement processing and financial reporting; (f) educational content and training materials through PropGate Academy, including free and premium (PRO) modules covering prop trading strategies, risk management, trading psychology, and related topics. PropGate services two types of prop trading accounts: (i) challenge accounts, where PropGate guides the client through the qualification process (challenge phases) to obtain a funded account, and (ii) instant accounts, which are funded accounts purchased directly by the client from a prop trading firm without requiring a challenge phase. In both cases, PropGate manages trading on the client's account under an authorized copy trading model. PropGate operates under an authorized trade management model whereby the client voluntarily provides PropGate with access to their prop trading account (MT4/MT5) and authorizes PropGate to execute trades on their behalf. This constitutes a copy trading arrangement where PropGate manages trading activity on the client's account with the client's explicit consent. PropGate is NOT a prop trading firm, securities broker, investment advisor, portfolio manager, or financial institution. We do not provide personalized investment advice, financial planning services, or recommendations to buy or sell specific financial instruments. The prop trading accounts managed through our Platform are provided by independent third-party prop trading firms over which PropGate has no control or influence. PropGate does not guarantee any specific trading results, challenge pass rates, profit levels, or funded account retention. All trading involves inherent risk, including the risk of account breach or total loss of the prop trading account.
By purchasing a package and providing your prop trading account credentials through the Platform, you expressly and voluntarily authorize PropGate to perform the following actions on your behalf: (a) access your prop trading account (MT4/MT5 or equivalent trading platform) using the credentials you provide; (b) open, modify, and close trading positions on your account; (c) set stop-loss orders, take-profit levels, and other risk management parameters; (d) manage position sizing, leverage utilization, and overall risk exposure; (e) execute any trading actions deemed necessary for challenge qualification or funded account management. This authorization constitutes your informed, voluntary consent for PropGate to act as your authorized trade manager under a copy trading arrangement. You acknowledge and agree that: (i) you retain full ownership of your prop trading account at the respective prop trading firm; (ii) PropGate acts solely as your authorized agent for trade execution and risk management purposes; (iii) you have the right to revoke this authorization at any time by changing your trading account password and notifying PropGate in writing at [email protected]; (iv) revocation of authorization constitutes voluntary termination of services and does not entitle you to any refund of entry fees paid; (v) you shall not interfere with, override, or counteract trades placed by PropGate on the managed account (see Section 14); (vi) PropGate bears no responsibility for any trades placed on the managed account by you or any third party without PropGate's knowledge or consent; (vii) you are solely responsible for ensuring that granting PropGate access to your trading account does not violate the terms of service of the respective prop trading firm. PropGate does not access, control, or manage your account on the prop trading firm's client platform (dashboard). Profit withdrawals, account settings on the firm's platform, and communication with the prop trading firm remain the sole responsibility of the client.
IMPORTANT RISK DISCLOSURE — Please read carefully before purchasing any PropGate package. Trading in financial markets, including prop trading, involves substantial risk. You should carefully consider the following before proceeding: (a) There is no guarantee that any challenge phase will be successfully completed. Challenge failure is a normal and expected outcome in prop trading and does not constitute a defect in PropGate's services. (b) There is no guarantee that a funded account will remain active. Funded accounts can be breached (terminated by the prop trading firm) due to maximum drawdown limits, daily loss limits, or other trading rules being triggered by adverse market conditions. (c) Past trading performance, including any results displayed on the Platform or in marketing materials, does not guarantee or indicate future results. Market conditions change continuously and historical performance cannot be relied upon as a predictor of future outcomes. (d) Market events such as flash crashes, liquidity gaps, economic data releases, geopolitical events, central bank decisions, and extreme volatility can cause rapid and significant account losses, potentially resulting in immediate account breach even with risk management measures in place. (e) Prop trading firms may change their rules, requirements, profit targets, drawdown limits, or fee structures at any time, which may adversely affect account performance, status, or profitability. (f) PropGate's risk management systems and trading methodology, while designed to control risk exposure, cannot eliminate all trading risks or prevent all losses. No risk management system is infallible. (g) The entry fee paid to PropGate is compensation for the trading management service provided and does not constitute an investment, deposit, financial product, or guarantee of any returns. (h) You may lose the entire value of your prop trading account (account breach) and PropGate shall bear no financial liability for such loss. By proceeding with a purchase, you acknowledge that you have read, understood, and unconditionally accepted all risks described in this section and throughout these Terms.
To access and use the Platform, you must meet all of the following requirements: (a) be at least 18 years of age or the age of legal majority in your jurisdiction, whichever is higher; (b) have full legal capacity to enter into binding contractual agreements; (c) provide accurate, current, and complete information during registration and maintain the accuracy of such information throughout the term of your account; (d) not be a resident of or located in a jurisdiction where the use of prop trading services or our Platform is prohibited or restricted by law; (e) comply with all applicable local, national, and international laws, regulations, and rules governing trading activities, financial services, and data protection in your jurisdiction. You represent and warrant that all information you provide to PropGate is truthful and accurate. Providing false, misleading, or fraudulent information constitutes a material breach of these Terms and may result in immediate account termination without refund.
Upon registration, you are solely responsible for maintaining the confidentiality and security of your account credentials, including your password and any associated authentication methods. You must not share your account credentials with any third party. You agree to notify PropGate immediately at [email protected] upon becoming aware of any unauthorized access to or use of your account, any security breach, or any other compromise of your account credentials. PropGate shall not be liable for any loss or damage arising from your failure to maintain the security of your account credentials or your failure to promptly report unauthorized access. We reserve the right to suspend or permanently terminate any account that we reasonably believe has been compromised, is being used in violation of these Terms, is associated with fraudulent or illegal activity, or is being shared with unauthorized third parties.
The Platform operates on a two-component pricing model: (a) a one-time entry fee payable upon project creation, and (b) a recurring success fee calculated as a percentage of net profits generated from funded trading accounts. Entry fees vary based on the selected account size. The specific fee amounts for each package are displayed on the Platform at the time of purchase and are incorporated into these Terms by reference. All prices are denominated and payable in United States Dollars (USD). Payments are processed through Stripe (credit and debit card payments) and NOWPayments (cryptocurrency payments). By making a payment, you authorize PropGate to charge the applicable fees to your selected payment method. Entry fees are due in full at the time of project creation and must be received before any services are activated. Failure to complete payment will result in the project remaining in a pending state until payment is confirmed. PropGate reserves the right to modify its pricing structure at any time. Price changes will not affect existing active projects - the entry fee and success fee percentage are locked at the time of project creation and remain fixed for the duration of that project.
PropGate accepts cryptocurrency payments in Bitcoin (BTC), Ethereum (ETH), and Tether (USDT) processed through our third-party payment processor NOWPayments. By choosing to pay with cryptocurrency, you acknowledge and agree to the following terms: (a) Cryptocurrency payments are final, irreversible, and non-refundable through the original payment method once confirmed on the respective blockchain. Due to the nature of blockchain technology, PropGate cannot reverse, cancel, or modify a cryptocurrency transaction after it has been initiated. (b) The exchange rate between the selected cryptocurrency and USD is determined and locked at the moment of payment confirmation by NOWPayments. PropGate bears no responsibility for exchange rate fluctuations before or after this lock-in point. (c) You are solely responsible for ensuring that the correct amount is sent to the correct wallet address. PropGate is not liable for funds sent to incorrect addresses, insufficient payment amounts, or transactions on incorrect blockchain networks. (d) Overpayments, underpayments, or payments sent to incorrect addresses may result in permanent loss of funds for which PropGate bears no responsibility. (e) You represent and warrant that all cryptocurrency used for payments has been lawfully obtained and that the transaction complies with all applicable anti-money laundering (AML) and know-your-customer (KYC) regulations. (f) In the event a refund is applicable for a cryptocurrency payment (as per our Refund Policy), PropGate may, at its sole discretion, process the refund as a USD-equivalent bank transfer or stablecoin payment rather than in the original cryptocurrency.
PropGate offers a 14-day money-back guarantee calculated from the date of payment confirmation. To request a refund within this period, you must contact our support team at [email protected]. IMPORTANT — The 14-day money-back guarantee is subject to the following exclusions. Your right to a refund is automatically and irrevocably forfeited if ANY of the following conditions apply: (a) Any trading activity has been initiated on the assigned prop trading account, regardless of the outcome of such activity; (b) Positive trading results (profit of any amount) have been generated on the account; (c) Account credentials for the prop trading account have been delivered to you AND have been accessed or used in any way, including but not limited to logging into the trading platform; (d) The client has interfered with the managed account in any way (see Section 14). The refund guarantee applies exclusively to completely unused and unactivated accounts where no credentials have been accessed. For card payments processed through Stripe, approved refunds will be returned to the original payment method within 5-10 business days. For cryptocurrency payments, refunds (if approved) will be processed at PropGate's sole discretion as a USD-equivalent amount via bank transfer or stablecoin payment. The original cryptocurrency will not be returned. After the expiration of the 14-day period, all entry fees are final and non-refundable under any circumstances. IMPORTANT: A failed challenge phase does NOT entitle you to a refund of the entry fee. In the event of a failed challenge, PropGate provides a free retry (replacement account) as part of its guarantee program — this constitutes the sole and exclusive remedy and does not create any right to a monetary refund. IMPORTANT: A breached funded account does NOT entitle you to a refund of the entry fee or any other compensation. Account breach is an inherent risk of prop trading as described in Section 4 (Trading Risks and Disclaimers).
Prop trading accounts managed through PropGate are subject to strict rules imposed by third-party prop trading firms. Account breach (account termination due to rule violations such as exceeding maximum drawdown, daily loss limits, or other trading parameters) and challenge failure are inherent and unavoidable risks of prop trading. (a) CHALLENGE FAILURE: If a challenge phase (Phase 1 or Phase 2) is failed for any reason, including adverse market conditions, PropGate will provide one free replacement account as part of its guarantee program. This free retry constitutes the sole and exclusive remedy for a failed challenge. A failed challenge does not entitle the client to a monetary refund regardless of whether the failure occurs within or outside the 14-day money-back guarantee period. (b) FUNDED ACCOUNT BREACH: If a funded account is breached for any reason, including but not limited to adverse market conditions, flash crashes, overnight gaps, news events, liquidity issues, or prop firm rule changes, PropGate shall not be liable for: (i) the loss of the funded account or any profits associated with it; (ii) any unrealized, expected, or projected profits; (iii) any prop firm payouts that were pending, expected, or in process; (iv) any consequential, indirect, or incidental damages of any kind. PropGate has no obligation to provide a replacement funded account or any compensation following a funded account breach. (c) CLIENT-CAUSED BREACH: If an account is breached as a direct or indirect result of the client's actions or interference with the managed account — including but not limited to: placing unauthorized trades, modifying account parameters or settings, changing leverage, granting third-party access, or any other unauthorized action — PropGate bears no responsibility whatsoever and no remedy of any kind (including the free retry guarantee for challenge phases) shall apply. (d) GUARANTEE PROGRAM LIMITATIONS: The free retry guarantee for failed challenge phases is provided at PropGate's sole discretion. PropGate reserves the right to: (i) limit the total number of free retries provided per project; (ii) modify or discontinue the guarantee program with 30 days' advance notice to active clients; (iii) deny a free retry if the client has violated any provision of these Terms.
The success fee is a contractual obligation arising from the use of PropGate's services for funded trading account management. The success fee is calculated according to the following formula: (Total Profit Generated from the funded account) minus (Prop Trading Firm's profit split/share) equals (Client Net Profit); the Success Fee equals (Client Net Profit) multiplied by (the applicable Success Fee percentage). The applicable success fee percentage (currently 30%) is determined and permanently locked at the time of project creation and cannot be changed retroactively. Success fee invoices are issued by PropGate upon profit realization from funded accounts. Payment of each success fee invoice is due within 14 (fourteen) calendar days from the date of invoice issuance. Failure to pay a success fee invoice within the 14-day period will result in a formal payment reminder. If payment remains outstanding for more than 30 (thirty) calendar days from the original invoice date, PropGate reserves the right to: (a) suspend access to the Platform and all associated services, (b) suspend management of all funded trading accounts associated with the user, (c) charge late payment interest at the maximum rate permitted by applicable law, and (d) pursue all available legal remedies to recover the outstanding amount plus costs. The success fee obligation survives termination of these Terms and any closure of your PropGate account. Outstanding success fee obligations remain payable regardless of account status.
As a user of the Platform, you agree to and are bound by the following obligations: (a) Provide accurate, truthful, and complete trading account credentials and personal information as required by PropGate; (b) Keep all account credentials and login information confidential and not share them with any third party; (c) Not share, transfer, sublicense, or otherwise provide access to your PropGate account to any third party; (d) Not use the Platform for any illegal, unauthorized, or fraudulent purpose; (e) Not attempt to reverse-engineer, decompile, disassemble, or otherwise attempt to discover the source code, algorithms, or underlying technology of any part of the Platform; (f) Not attempt to circumvent, disable, or interfere with any security features of the Platform; (g) Comply with all rules, requirements, and terms of service of the prop trading firms whose accounts are managed through our Platform; (h) Promptly report any technical issues, security concerns, or unauthorized access to PropGate; (i) Maintain the accuracy of your personal and contact information throughout the term of your account. TRADE MANAGEMENT NON-INTERFERENCE: When your prop trading account is under active management by PropGate, you additionally agree to: (j) Not execute any trades on the managed account independently or allow any third party to do so; (k) Not modify any account settings, including but not limited to leverage, margin settings, or trading parameters, without PropGate's prior written consent; (l) Not change the trading account password without providing PropGate at least 48 hours' prior written notice at [email protected]; (m) Not contact the prop trading firm regarding the managed account's trading activity without first notifying PropGate; (n) Not grant any third party access to the managed trading account. CONSEQUENCES OF INTERFERENCE: Any violation of the non-interference obligations (j) through (n) above shall: (i) relieve PropGate of all responsibility for the account's performance and any resulting losses or account breach; (ii) void the free retry guarantee for the affected account; (iii) void any right to a refund regardless of the time elapsed since payment; (iv) constitute a material breach of these Terms potentially resulting in account suspension or termination.
All content, features, functionality, software, designs, text, graphics, logos, icons, images, data compilations, APIs, and all other aspects of the Platform are the exclusive property of PropGate or its licensors and are protected by applicable intellectual property laws, including copyright, trademark, patent, and trade secret laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for its intended purpose and in accordance with these Terms. You may not, without the prior written consent of PropGate: (a) reproduce, distribute, modify, or create derivative works of any Platform content; (b) use any PropGate trademarks, logos, or branding for any purpose; (c) scrape, crawl, or use automated means to extract data from the Platform; (d) frame or mirror any part of the Platform on any other website or service. This license terminates automatically upon termination of your account or violation of these Terms.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROPGATE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR: (a) Any trading losses, drawdowns, account breaches, or negative results incurred on prop trading accounts (both challenge accounts and instant accounts), regardless of the cause, including but not limited to adverse market conditions, flash crashes, liquidity events, or PropGate's trading decisions; (b) Any decisions, actions, or inactions by prop trading firms regarding account status, funding, payouts, or rule enforcement; (c) Any technical failures, downtime, data loss, or other issues with third-party prop trading firm platforms or trading infrastructure; (d) Any lost profits, lost revenue, lost business opportunities, or loss of anticipated savings; (e) Any indirect, incidental, consequential, special, punitive, or exemplary damages of any kind; (f) Any delays or failures in prop trading firm payouts; (g) Any changes to prop trading firm rules, requirements, or terms of service; (h) Any losses resulting from the client's interference with the managed account in violation of Section 14; (i) The insolvency, bankruptcy, cessation of operations, or inability to fulfill financial obligations of any prop trading firm; (j) Market losses arising from normal financial market volatility, macroeconomic events, central bank decisions, or any other factors affecting financial instrument prices; (k) Any claims based on expectations of specific rates of return, profit levels, or trading results, and the client expressly acknowledges that past performance does not guarantee future results; (l) Loss of eligibility for the management fee refund under the program described in Section 12, where such loss results from account breach or failure to meet the program conditions. PROPGATE DOES NOT GUARANTEE: any specific trading results, challenge pass rates, or funded account retention; continuous or uninterrupted access to the Platform; any specific profit levels, payout amounts, or return on the entry fee paid; any specific timeline for challenge completion, prop trading firm payouts, or account activation; the continued operation, solvency, or reliability of any third-party prop trading firm; any specific percentage rates of return or minimum profit levels; the continuity of the management fee refund program, which is contingent upon satisfaction of the conditions set forth in Section 12. CLIENT ACKNOWLEDGMENT: By using PropGate's services, the client expressly represents and acknowledges that: (i) trading in financial markets involves substantial risk of loss, including the risk of losing the entirety of invested funds; (ii) historical results presented by PropGate or any other party do not constitute a guarantee or promise of future results; (iii) PropGate makes no promises or assurances regarding specific percentage rates of return; (iv) the right to a management fee refund is contingent upon maintaining an active account (no breach) for the required period and meeting all program conditions. AGGREGATE LIABILITY CAP: In no event shall PropGate's total aggregate liability to you for all claims arising out of or related to these Terms or the use of the Platform exceed the total amount of entry fees actually paid by you to PropGate in the twelve (12) months immediately preceding the event giving rise to the claim. This cap applies regardless of the form of action, whether in contract, tort, strict liability, or otherwise. This limitation of liability applies to the fullest extent permitted by law, has been agreed upon by the parties as a fair allocation of risk given the nature of prop trading services, and survives termination of these Terms.
You expressly acknowledge and agree that PropGate's services are dependent on the continued operation, policies, and decisions of independent third-party prop trading firms. PropGate has no ownership interest in, control over, or affiliation with any prop trading firm. PropGate shall not be responsible or liable for: (a) Changes to a prop trading firm's rules, requirements, profit targets, drawdown limits, or other trading parameters; (b) Closure, insolvency, or cessation of operations of any prop trading firm; (c) Delays, denials, or modifications to payouts by a prop trading firm; (d) Suspension, termination, or revocation of trading accounts by a prop trading firm for any reason; (e) Changes to a prop trading firm's profit split ratios, fee structures, or payment terms; (f) Technical issues, platform outages, or data discrepancies on a prop trading firm's systems. In the event that a prop trading firm ceases operations, changes its terms materially, or otherwise becomes unable to fulfill its obligations, PropGate will make reasonable efforts to communicate the situation to affected users but shall bear no financial liability for any resulting losses.
PropGate shall not be liable for any failure to perform or delay in performing any obligation under these Terms if such failure or delay results from circumstances beyond PropGate's reasonable control, including but not limited to: (a) natural disasters, pandemics, epidemics, or public health emergencies; (b) acts of war, terrorism, civil unrest, or government sanctions; (c) financial market crashes, extreme volatility events, or systemic market disruptions; (d) insolvency, bankruptcy, or cessation of operations of prop trading firms or payment processors; (e) changes in applicable laws, regulations, or regulatory actions that materially affect PropGate's ability to provide services; (f) internet infrastructure failures, cyberattacks, distributed denial-of-service attacks, or other technological disruptions beyond PropGate's control; (g) failures of third-party service providers, including but not limited to hosting providers, payment processors, and communication services; (h) government-imposed restrictions, lockdowns, or emergency orders. During any force majeure event, PropGate's obligations under these Terms shall be suspended for the duration of the event. PropGate will make commercially reasonable efforts to resume services as soon as practicable and to notify affected users of the situation.
PropGate reserves the right to suspend or permanently terminate your access to the Platform, with or without prior notice, for any of the following reasons: (a) material breach of any provision of these Terms; (b) non-payment of entry fees, success fees, or any other amounts due to PropGate; (c) fraudulent, deceptive, or illegal activity associated with your account; (d) violation of the rules or terms of service of any prop trading firm whose accounts are managed through the Platform; (e) providing false, misleading, or inaccurate information during registration or at any subsequent time; (f) sharing your account credentials with unauthorized third parties; (g) interference with PropGate's trade management in violation of Section 14; (h) any conduct that PropGate reasonably determines to be harmful to the Platform, other users, or PropGate's business interests. Upon termination: (i) your right to access and use the Platform ceases immediately; (ii) any outstanding success fee obligations remain due and payable; (iii) PropGate may retain any data necessary to comply with legal obligations or to protect its rights. The following provisions survive termination of these Terms: Sections covering Authorization, Trading Risks, Intellectual Property, Limitation of Liability, Success Fee Obligations, Governing Law, and any other provisions that by their nature are intended to survive.
PropGate reserves the right to modify, amend, or update these Terms at any time. For material changes that significantly affect your rights or obligations, we will provide at least 14 (fourteen) calendar days' advance notice via email to the address associated with your account or through a prominent notification on the Platform. Non-material changes (such as typographical corrections, formatting changes, or clarifications that do not alter the substance of any provision) may be made without prior notice. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must cease using the Platform before the changes take effect and contact [email protected] regarding your account status.
These Terms are governed by and shall be construed in accordance with the laws of the Republic of Poland, without regard to its conflict of laws provisions. Any disputes, claims, or controversies arising out of or relating to these Terms, the Platform, or the services provided by PropGate shall be subject to the exclusive jurisdiction of the competent courts of the Republic of Poland. You irrevocably consent to the personal jurisdiction and venue of such courts. Notwithstanding the foregoing, PropGate retains the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or to prevent irreparable harm.
